FAQs: Alumni Engagement Programming

Why does the alumni ex-officio no longer vote on the Board of Trustees?

In short, votes from persons who do not meet the definition of a “director” under North Carolina non-profit law cannot legally be counted for purposes of determining a valid Board action.

The Board of Trustees recently engaged legal counsel with expertise in nonprofit governing boards to conduct a review of the College’s bylaws. One area found to be in need of clarification was the role of ex-officios on the Board.

NC State law requires that action of the organization must be approved by a majority of “directors.” The concept of “director” requires a fiduciary relationship, which is a legal and ethical obligation requiring directors to act in the best interest of the organization. The position of ex-officio exists due to the individual’s duties to a different organization or group (e.g., faculty, staff, student, church, alumni). The ex-officio trustee, therefore, could face conflicts of interest between their duties to the groups they represent versus duty to the College.

Throughout the bylaws, changes were made to clarify that ex-officio Trustees and Trustees Emeriti are advisors and sounding boards who do not have a vote on Board action and do not count in a quorum. The roles exist to provide advice and counsel to the Board.

NOTE: Because committee action is not Board action, an Ex-Officio Trustee or Trustee Emeritus appointed to a committee may vote in committee proceedings and count for purposes of a quorum.

Will there still be an Alumni Ex-Officio, and what will the nomination process look like?

Yes. The Alumni Association will nominate and vote for the top three candidates, with the final selection made by a committee composed of WWC alumni. Currently, the Alumni Board President is selected by its own Nominations Committee. We hope this new ex-officio selection process will incorporate a broader range of alumni input.

Previously, the Alumni Ex-Officio position was held by the Alumni Board President, a role that typically required 6+ years of service on the Alumni Board before reaching that level of leadership—a time commitment many alumni cannot make according to data collected via the Alumni Preferences Survey. This updated process is intended to broaden the pool of candidates and create more equitable access to this important leadership opportunity.

How will the Board ensure that faculty, staff, students, the church, and alumni continue to feel genuinely heard and valued in the life of the College?

The Board clarified in its recent revisions to the Bylaws that decisions about the College must be made by those with a fiduciary obligation to the College.

Apart from voting, there are many effective channels for faculty, staff, students, the Presbyterian representative and alumni to communicate with the administration and the Board. Each Ex-Officio is invited to submit a report to the Board prior to each meeting to share updates, ideas and concerns from those constituencies.

The College’s shared governance structure gives faculty and staff an opportunity to ask questions and bring concerns to each other and College leadership. Students can work through the Student Government Association and Student Engagement team. Alumni can bring concerns to the Alumni Engagement and Advancement teams. Anyone can share concerns with the administration, the President’s Office or the Board by sending a message.

As the Alumni Ex-Officio role is modified, how does the Board envision that role helping alumni feel connected to—and heard by—the Board of Trustees over time?

The Alumni Ex-Officio will have access to and the ability to participate in most Board conversations. Board meetings are not the only way alumni can communicate with the College administration and Board. Anyone can share concerns with the administration, the President’s Office or the Board by sending a message. The primary, and most appropriate, conduit for alumni communications is through the Alumni Engagement and Advancement teams.

How was the 2025 Alumni Preferences Survey involved in these programmatic updates?

The Alumni Preferences Survey took place in August 2025 and served to collect input from alumni about what would support them in engaging with the College.

Quick Facts about the survey:

  • The survey received 398 responses from alumni, a response rate significantly higher than previous attempts to collect alumni input
  • It was promoted via the Talon Newsletter and standalone email to all alumni who have email addresses on record at the College (about 6200). It was posted to the Alumni Facebook Group twice.

Noteworthy survey results:

  • Capacity
    • 47% of respondents want to see more one-time engagement opportunities
    • 89% of respondents are not able to engage more than once or twice annually
    • While 18% expressed interest in serving on the Alumni Board, only 5% were able to actively engage at the level required
  • Location
    • 56% of respondents feel that WWC events outside of Western North Carolina would support their ability to engage
    • 58% of respondents are most likely to attend events close to where they live (as compared to events in WNC, virtual events, etc.)
  • Motivation for Engagement
    • 66% of respondents are motivated to engage due to a desire to stay up to date with College news and developments
    • 47% of respondents are motivated to engage due to desire to connect with other alumni
    • 43% of respondents are interested in sharing feedback as an alumni representative
    • 42% of respondents are interested in engaging with WWC by making gifts to the College
    • 36% of respondents would like to engage by connecting with current students
What prompted and guided the transition from the Alumni Board to the Alumni Leadership Council?

Alumni feedback made it clear that many were seeking more flexible and accessible ways to stay involved. In the Alumni Preferences Survey, 23% of alumni expressed interest in a greater variety of leadership opportunities, while 47% preferred more one-time volunteer and engagement options. At the same time, only 5% of respondents were able to participate at the level required of Alumni Board members.

The Alumni Leadership Council model is designed to respond to this feedback by creating more inclusive, adaptable pathways for engagement—allowing a broader range of alumni to contribute in meaningful ways while deepening overall connection to the College. Through the Council, each year a cohort of alumni can learn about Warren Wilson’s current priorities and initiatives, creating an ever-expanding number of informed ambassadors who can spread the word to their networks about the College and its students.

Are there Alumni representatives on the Board of Trustees that do have a vote?

Yes. The Board of Trustees includes multiple members who are Warren Wilson alumni and serve as full voting trustees. These alumni are elected or appointed in the same manner as other trustees and participate fully in Board governance. Currently, 7 out of 17 members on the Board of Trustees are Warren Wilson alumni, reflecting the strength of alumni representation across the institution.

Is there still an Alumni Association? Who will plan Homecoming? Have our Alumni Association awards been eliminated?

The Alumni Association will continue to exist as our network of Warren Wilson Alumni. While the Alumni Board structure has evolved, alumni will still have meaningful opportunities to stay connected and involved.

The Alumni Engagement Office will continue to plan and implement Homecoming and other alumni events, including scheduling, working with vendors, catering, RSVPs, communications, staffing, and overall logistics. Alumni participation will remain an important part of these events, with opportunities to volunteer and assist with day-of activities, just like in the past.

Alumni and Hall of Fame Awards also will be continued.. We look forward to celebrating the achievements of our Alumni.

Do some alumni volunteers (including former Alumni Board members) sign a confidentiality agreement?

Yes. Every person who works with the Advancement Office is asked to sign a confidentiality agreement due to the sensitive nature of the information we handle, including personal data, financial records, and donor history. This helps ensure that information is protected and not shared inappropriately, and reflects standard best practices for offices handling confidential information.
